Terms of Service
Last updated: 14 October 2026
These Terms of Service ("Terms") govern use of the SealGrid website at sealgrid.ai, the Athena Endpoint Platform ("Athena"), its agents and related software, documentation, downloads, and any hosted evaluation we provide (together, the "Services"). The Services are provided by SealGrid, operator of sealgrid.ai, based in Shluhot, Israel ("SealGrid", "we", "us").
By ordering, downloading, installing, accessing, or using the applicable Services, you agree to these Terms. If you act for an organization, you confirm that you are authorized to bind that organization. If you do not agree, do not install or use the Services. Additional written terms expressly agreed for a particular order take precedence if they conflict with these Terms. Mandatory legal rights are not excluded.
1. Orders and payments
Paid orders are processed through Paddle.com, our online reseller and Merchant of Record. Paddle handles payment processing, applicable transaction taxes, invoices, payment inquiries, and returns. The plan, quantity, billing period, currency, and price confirmed at checkout or in an accepted written quote form part of your order. Prices and features published on our Pricing page are informational until an order is accepted.
2. Software licence
Athena is licensed, not sold. During the period covered by a valid licence, and subject to your purchased plan and limits, SealGrid grants you a limited, non-exclusive, non-transferable, non-sublicensable right to install and run Athena on infrastructure you control and to allow your authorized personnel to use it for your organization's internal operations. You may make reasonable backup copies where legally permitted.
You may not redistribute, sell, sublicense, or offer Athena as a hosted or managed service for third parties without our written permission; remove proprietary notices; circumvent licence controls or limits; or decompile or reverse-engineer the software except where applicable law expressly permits it. You may not use the Services to access systems or data without authorization, or to violate applicable law. These restrictions do not override any rights granted under a separately applicable open-source licence.
3. Plans, devices, and users
- Managed device: one device with one enrolled Athena agent. Windows, Linux, and macOS devices, including servers and workstations, count alike. An enrolled agent continues to count until removed from the managed fleet, even if it is offline.
- Console user: one Athena account, including administrator, operator, other role-based accounts, and accounts created on first sign-in through directory integration or single sign-on. Accounts count toward the limit set by your licence.
- Free: up to 25 managed devices and five console users, under a one-year licence. Free renewals may be requested without charge while the Free plan remains available.
- Standard and Pro: paid subscriptions start at 10 managed devices and include five console users. Additional console users, eligible volume discounts, and plan-specific features are priced as shown on the Pricing page or in your accepted quote.
A licence certificate may enforce device, user, feature, module, version, or term limits. Reaching a device or user limit prevents additional enrollments or accounts; it does not automatically remove existing ones. If you need more capacity, request an updated licence and, for paid plans, any corresponding billing change. Plan entitlements are determined by your order, the current published plan description applicable to that order, and the issued licence certificate.
4. Trials and the Free plan
Each Athena release includes a no-charge trial with Pro features until the release-specific expiry date displayed with the download and in the Athena console. The trial does not automatically convert to Free. To continue after the trial, obtain and install a Free or paid licence before the applicable expiry and any grace period have ended.
A hosted evaluation is separate from a self-hosted Athena licence. Hosted trial instances are temporary and, as described in our Privacy Policy, the hosted instance and its data are deleted after 14 days. Do not use a hosted trial as your only copy of important data.
5. Offline licences, grace periods, and expiry
Athena uses a locally verified licence certificate and does not require online activation, a licence server, or periodic vendor check-ins. The certificate defines its expiry date and any grace period. During an applicable grace period, licensed functions continue to operate. Once a licence is absent, invalid, or expired beyond its grace period, Athena restricts new operational work, including:
- Enrolling new agents or creating new console accounts.
- Starting deployments, scripts, commands, or remote-control sessions.
- Running ordinary scheduled jobs, monitor sweeps, or compliance evaluations.
- Migrating agents to another server and initiating other licence-restricted actions.
Core data remains accessible: the server can start, existing users can sign in, existing agents can check in and send inventory, and existing records and reports remain readable. Built-in housekeeping, including configured database backups and cleanup, can continue. Licence expiry by itself does not delete stored data, although ordinary retention settings and customer-initiated deletion still apply.
Separately licensed modules are different. BitLocker, Sysmon, and Power Management require the relevant module entitlement in a licence certificate. If a required module entitlement is absent, or the licence expires beyond its grace period, that module becomes unavailable, including its read-only screens and API access. Module-related policy enforcement and compliance assignments may also stop or be withdrawn. If you rely on a module for access to sensitive information such as BitLocker recovery keys, arrange continued licensing and independent, secure backups before expiry.
The current technical behavior, including exact blocked actions, is described in the Licensing documentation. In the event of a discrepancy between a general description above and a particular installed software version, the software's enforced technical behavior applies, without overriding rights expressly granted in your order or by law.
6. Subscriptions, cancellation, and refunds
Paid Standard and Pro plans are billed in advance, monthly or annually as selected at checkout, and renew automatically until cancelled. You may cancel at any time before the next renewal to prevent another charge. Unless a refund is granted or applicable law requires otherwise, cancellation does not shorten the already paid licence term, and access continues until that term ends.
Our Refund Policy currently offers a full refund requested within 14 days of any payment, including new purchases and renewals, on monthly or annual plans. Requests may be sent to support@sealgrid.ai or submitted through Paddle using your receipt. Approved refunds are returned to the original payment method. A licence funded by a refunded payment ends when the refund is issued. Mandatory statutory cancellation and refund rights apply wherever required.
Any changes in subscription prices apply only as disclosed for a future billing period or agreed order; they do not retroactively increase charges for an already paid period. The cancellation or renewal process is handled through Paddle or our support team.
7. Customer responsibilities and authorized use
Athena can execute privileged commands, deploy software, modify device configuration, control remote sessions, manage encryption-related information, and collect inventory. You are responsible for what your authorized users do with it. In particular, you must:
- Have authority to manage each enrolled device and to access or process the data collected from it.
- Provide required employee, user, or third-party notices and obtain consent where applicable, including for remote access, monitoring, and session recording.
- Manage administrator permissions, credentials, API tokens, enrolment certificates, and physical and network access using appropriate security controls.
- Review and test deployments, scripts, policies, updates, and remote actions before running them at scale.
- Maintain independent and tested backups of databases, files, certificates, encryption recovery material, and other information needed to recover your environment.
- Configure lawful retention periods, respond to security events, and comply with applicable privacy, employment, intellectual-property, and computer-misuse laws.
Athena provides technical tools; it does not, by itself, guarantee regulatory compliance, successful backups, or protection from operational errors or security incidents.
8. Customer data, privacy, and security
Self-hosted Athena operates on infrastructure you control. Its endpoint inventory, commands, reports, session recordings, and other operational data remain under your control and are not automatically transmitted to SealGrid. The self-hosted product is designed to work without internet access, external telemetry, cloud activation, or licence check-ins. Customer-configured integrations or communications are your responsibility.
We may receive information that you deliberately provide, such as emails, support bundles, diagnostic files, or information submitted for a purchase or hosted trial. Review and sanitize support materials before sending them, particularly where they may contain credentials, personal information, encryption keys, or confidential infrastructure details. Our handling of information we receive, including hosted-trial data, is described in our Privacy Policy.
You remain responsible for the security, access controls, backups, and retention of your self-hosted environment. We are responsible for information we actually receive to the extent required by applicable law and our Privacy Policy.
9. Intellectual property and third-party components
SealGrid and its licensors retain ownership of Athena, its source code, branding, documentation, and other intellectual property. No ownership transfers under these Terms. You retain ownership of your own data, scripts, packages, configurations, and other content you provide or create.
Some components may have separate third-party or open-source licences. Those licences govern their respective components where applicable and are not replaced by these Terms. Third-party integrations or services may also have their own terms. If you voluntarily provide product feedback, we may use it to improve our products without payment, but we will not acquire ownership of your underlying confidential information or personal data through that feedback.
10. Support, updates, and new features
Support follows your plan: community support for Free, email support for Standard, and priority support for Pro, as described on the Pricing page. We make product updates available in accordance with active licence entitlements and supported-version policies. A specific response time, resolution time, or service level is not guaranteed unless separately agreed in writing. Because Athena supports air-gapped environments, you are responsible for securely obtaining, testing, and installing updates. Security concerns or suspected vulnerabilities may be reported privately to support@sealgrid.ai.
Pro includes new first-party Athena modules released during an active Pro subscription, consistent with the published plan description; availability can require a compatible version and a certificate with the applicable module entitlement. This does not automatically include separate SealGrid products, third-party services, or separately contracted professional services. Product roadmaps, previews, and announced features are not promises of release on a specific date. We may improve, correct, or modify software for security, compatibility, or product development, subject to any express commitments for your paid term and mandatory law.
11. Warranties and operational risk
To the maximum extent permitted by applicable law, the Services are supplied "as is" and "as available", without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not promise that all defects or vulnerabilities will be eliminated, that operation will be uninterrupted, or that the software will meet every environment-specific requirement.
Changes made through endpoint-management and security tools can disrupt systems or cause data loss if misconfigured or misused. You are responsible for staged testing, change approval, recovery planning, and maintaining appropriate backups. Nothing in these Terms excludes an express written warranty or statutory right that cannot lawfully be excluded.
12. Limits on liability
To the extent permitted by applicable law, neither SealGrid nor its licensors will be liable for indirect, incidental, special, exemplary, or consequential damages, including loss of profits, business interruption, or loss of data, arising from the Services.
For paid Services, SealGrid's total aggregate liability arising out of or relating to the Services is limited to the fees actually paid for the affected Services through Paddle during the 12 months preceding the event giving rise to the claim. For Free plans and unpaid trials, that aggregate limit is US$100. These limits apply regardless of the legal theory, but do not exclude or limit liability for fraud, wilful misconduct, or any other liability that applicable law does not allow us to limit. Your non-waivable consumer rights are preserved.
13. Suspension and termination
A licence may end when its term expires, a relevant payment is refunded, or these Terms are terminated for a material breach. If you materially breach these Terms, we may notify you and allow a reasonable opportunity to remedy the breach where appropriate. We may act sooner where necessary to address fraud, unauthorized redistribution, serious misuse, or legal obligations, subject to applicable law.
Upon termination, your right to use licensed functionality ends. Termination does not authorize SealGrid to remotely delete your self-hosted data. Existing information may remain on your infrastructure, subject to the software's technical licence restrictions and your retention configuration. Terms concerning intellectual property, outstanding payments, liability, dispute resolution, and other provisions intended to survive will remain effective as applicable.
14. Changes to these Terms
We may revise these Terms to reflect product, legal, or business changes. We will publish the updated text and revision date on this page. For material changes affecting existing paid customers, we will give at least 30 days' advance notice by posting on the site and, where reasonably practicable, contacting the billing or support address on record. Changes required urgently for security or legal compliance may take effect sooner, with an explanation where practicable.
Materially adverse changes to the rights of an existing prepaid licence will ordinarily take effect at the next renewal, unless the law or the separately agreed contract requires otherwise. Continued use after an effective change may constitute acceptance to the extent permitted by law. If you disagree, you may discontinue use or cancel a renewal, without affecting any mandatory rights.
15. Governing law and disputes
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. To the extent legally permitted, disputes are subject to the competent courts in Tel Aviv, Israel. This provision does not take away mandatory consumer protections or a right to bring a claim in another forum where applicable law does not permit that right to be waived.
If a provision is found unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver of it. These Terms, your accepted order, and any incorporated policies or separately agreed written terms form the applicable agreement regarding the Services.
